How do I invest in Cloudastructure?

You can easily invest in our offering online using our secure investment portal:

  1. Navigate to portal.cloudastructure.com
  2. Complete the investor registration questionnaire
  3. Read the Subscription Agreement, Customer Agreement and ACH Agreement (if paying via ACH)
  4. Type your full legal name to sign the Subscription Agreement

What is the price per share?

The price per share is $0.50 in this offering.  Every two shares comes with a warrant (an option you can exercise if you want) to buy a third share for $0.75.  The warrant is good for 18 months from the date of your investment, you have that long to decide to use it or not.  For simplicity, we are grouping two shares and one warrant into a “Unit” for $1.00.

Is there a minimum and maximum investment amount?

The minimum individual investment is $500, which is equivalent to 500 Uunits at the current share price.

Please note, there is also a limit on how much non-accredited investors can invest, which is up to 10% of your income or net worth, whichever is greater. There is no limit for accredited investors.

What happens after I complete the online investment process?

Investment payments are processed by our Escrow Agent, Prime Trust. Prime Trust will be the name that appears on ACH and Credit Card statements.

ACH and Credit Card transactions can take 1-2 business days to process. You will receive an email notification when your funds are received.

Once funds are received, it can take up to 1-2 weeks to process your investment completely.

In some instances, we may reach out to you requesting additional information in order to verify your identity & finish processing your investment, which may increase the overall processing time.

Once your investment has been fully processed and confirmed, you will receive an Investment Confirmation email with your Signed Subscription Agreement and Ceremonial Certificate. You are officially an investor in Cloudastructure only when you receive this email.

If a couple of weeks pass by and you do not receive an Investor Confirmation email with your Signed Subscription Agreement and Ceremonial Certificate, please email us at investorsupport@cloudastructure.com. We may still require additional information from you in order to process your investment fully. We recommend you check your spam folder first for any email communications!

How many units/shares are being offered?

We are offering a maximum number of 28,571,428 units on a “best efforts” basis.

How will proceeds from this offering be used?

The net proceeds of a fully subscribed offering, estimated at $44,481,00.00, will be used as follows:

-Sales and Marketing: $18,682,230

-Engineering: $14,678,895

-Hardware Development: $2,668,890

-Research & Development: $6,227,410

-Product Development: $6,672,225

-General & Administrative Expenses: $11,120,375

Will I be able to sell/transfer my shares?

Currently there is no market of liquidity for Regulation A+ shares. As an investor in a private company, you typically receive a return on your investment under the following two scenarios:

1.The company gets acquired by another company.
2.The company goes public (undergoes an initial public offering on the NASDAQ, NYSE, or another exchange).

The subscription agreement that investors will execute in connection with the Offering contains a “market stand-off” provision in the event of a proposed public offering. During the period, not to exceed 180 days, commencing on the effective date of a registration statement relating to the IPO and ending on the date specified by the Company and the managing underwriter of the IPO, investors agree not to transfer any shares of Common Stock, or other securities of the Company held by the investor, or securities convertible or exercisable or exchangeable for Common Stock without the prior written consent of the managing underwriter. Investors agree to execute any agreements as may be reasonably requested by the underwriters of the IPO to effect the market stand-off.

When does the offering close?

The current estimated closing date for the offering is 7/09/2021.

What is the difference between an accredited vs. non-accredited investor?

An accredited investor is an individual who makes over $200,000 per year in income ($300,000 if combined with a spouse) or who has a net worth of $1 million or more, excluding their primary residence. A non-accredited investor is anyone who does not meet at least one of the income or net worth requirements for being considered an accredited investor.

Do I need to be an accredited investor to invest?

No, the offering is open to both accredited and non-accredited investors.

What methods of payment do you accept?

We accept payments using a Visa, Mastercard, Bank Account (ACH), Wire, Check, or IRA.

There are no fees in order to complete your investment.

Do I need to be a US citizen to invest?

Our offering is open to both U.S. citizens and residents as well as international investors.Please note, international investors will be required to provide a copy of their government issued photo ID as well as a recent proof of address document, such as a utility bill or bank statement.
